By sending your deposit you are hereby accepting these terms and conditions.
DECORATION PACKAGE AGREEMENT AND CUSTOMIZATION

Invoice and Package Details:
During the initial consultation, the Client will receive an invoice outlining the price and details of the decoration services. It is the Client’s responsibility to review the invoice for accuracy and address any discrepancies promptly.
Customization Policy:
Decoration packages are priced as is and can only be customized during the initial consultation and enlistment of services.
Once the package price is agreed upon and the Designer has purchased items (typically within one week of receiving the deposit), no price reductions will be allowed, even if the Client later decides fewer items are needed.
Changes Due to Guest Count:
If the guest count increases after the initial agreement, the Designer will add necessary items (e.g., linens, centerpieces, napkins) to the invoice. These additions will be priced at the current rates and must be paid by the Client.
Customizable Items:
Items such as special linens, chair covers, and other custom selections cannot be changed once ordered.
Modification Deadline:
No changes to the decoration plan may be made less than one (1) month before the event date.

DECORATION ARRANGEMENTS

Service Scope:
Keys of Excellence will provide decoration services as outlined in the agreed-upon proposal.
Venue Access:
The Client is responsible for ensuring that the event venue is accessible and prepared for decoration setup according to the agreed-upon schedule.
Measurements:
Keys of Excellence is not responsible for measuring vases, linens, tables, or other items. Verbal measurements provided by the Designer are a courtesy and should not be considered final. The Client should verify all measurements in person or coordinate with other vendors, such as florists, to confirm accurate dimensions.
Delays and Additional Fees:
Any delays caused by the Client or the venue may result in additional fees.
CLIENT RESPONSIBILITIES REGARDING VENUE COORDINATION
Venue Communication:
It is the Client’s responsibility to communicate directly with the venue (hall, hotel, etc.) to confirm the number of items required for decorating, such as tables, chairs, and other necessary specifics.
Scheduling Access:
The Client is responsible for coordinating with the venue to schedule access for the Designer to perform the work. Some events may require extended setup times depending on the details of the decorations. If the venue permits access the day before the event, the Designer will make every effort to accommodate this allowance.
Setup and Breakdown:
Setup Time:
Decorating can take several hours to complete depending on the complexity of the event.
Breakdown Time:
Similarly, breakdown and removal of decorations will also require time. The Client agrees to schedule a minimum of two (2) hours for the breakdown process.
Caterer Responsibilities:
Breakdown services provided by the Designer do not include clearing or bussing tables, removing trash, or other cleanup tasks, which are the responsibility of the caterers or other designated vendors.
Additional Fees:
If the Keys of Excellence staff must clear tables to facilitate breakdown, an additional cleaning fee of $150 per hour will be added to the final bill.

PAYMENT TERMS
Deposit:
A non-refundable deposit of 50% of the total fee is required at the time of signing this Agreement to secure the booking date.
Final Payment:
The remaining balance is due no later than seven (7) days before the event date.
Late Payments:
Payments not received by the due date will incur a late fee of $50 per day until the balance is paid in full.
CANCELLATIONS AND REFUNDS
Cancellation by Client:
If the Client cancels the event more than 30 days before the event date, the deposit is non-refundable, but no additional payments are required. If the Client cancels the event less than 30 days before the event date, the Client is responsible for paying 50% of the remaining balance.
Cancellation by Company:
If Keys of Excellence cancels the booking for any reason, all payments made by the Client, including the deposit, will be refunded in full.
Rescheduling:
Requests to reschedule the event must be made in writing and will be accommodated subject to availability. If rescheduling is not possible, the deposit will be retained, but the Client will not be responsible for any additional payments.
LIABILITY AND DAMAGES
Client Responsibility:
The Client is responsible for ensuring the safety and well-being of their guests. The Client assumes responsibility for any damages caused by their guests to the decorations, equipment, or property provided by Keys of Excellence.
Company Liability:
Keys of Excellence is not liable for any injuries, accidents, or damages that occur during the event, except in cases of gross negligence or willful misconduct by the Company.
Force Majeure:
Keys of Excellence shall not be held liable for failure to perform services due to circumstances beyond its control, including but not limited to natural disasters, government regulations, or other unforeseen events.
Property Damage or Loss:
The Client is responsible for any damage to, or loss of property provided by Keys of Excellence, including but not limited to centerpieces, chairs, linens, and backdrops. Once the decorations are set up, all equipment and materials are under the Client’s liability. Any damages or missing items will be charged at full replacement cost.
Stolen or Removed Items:
Keys of Excellence is not responsible for items stolen by the Client’s guests during the event. If guests remove items (e.g., centerpieces, decorative accents) that are the property of the Decorator or any outside vendor, the Client will be charged the full replacement cost of the items.
OWNERSHIP OF DECORATIONS
Company Property:
All decorations, materials, and equipment provided by Keys of Excellence remain the property of the Company unless explicitly stated otherwise.
Client Use:
The Client may not keep, reuse, or claim ownership of any decorations unless explicitly purchased in writing.
Replacement Costs:
If the Client’s guests remove items such as centerpieces, decorative accents, or any other property belonging to Keys of Excellence or outside vendors, the Client will be charged the full replacement cost of the items.
DISPLAY AND PROMOTION
Photography and Usage:
Keys of Excellence reserves the right to photograph the event setup and use these images for promotional purposes, including but not limited to social media platforms, websites, and marketing materials.
Client Privacy:
The Client may submit a written request to have any identifying details, such as names or logos, removed from promotional materials featuring their event at least three (3) days prior to event date.
CLIENT COOPERATION
Venue Access:
The Client must ensure that the event venue is accessible at the agreed-upon times for both setup and removal of decorations.
Delays and Additional Charges:
If delays occur due to the Client’s actions or venue restrictions, additional charges may be applied to cover extended setup or breakdown time.
GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law principles.
ENTIRE AGREEMENT
This Agreement constitutes the entire understanding between the parties and supersedes all prior negotiations, discussions, or agreements. The Designer functions as an independent contractor employed by Keys of Excellence. The Client acknowledges that the Designer is a professional and does not require supervision or monitoring while performing the work.
